Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and BlackSpade Ventures, LLC ("SpadeRank," "we," "us") governing your access to and use of the SpadeRank platform and related services (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

SpadeRank measures and reports how AI assistants and answer engines (such as ChatGPT, Gemini, and Perplexity) discover, rank, and cite a brand, and provides related analysis and recommendations. Results are generated in part by third-party AI systems and are provided for informational purposes.

2. Accounts and eligibility

You must be at least 16 years old and able to form a binding contract. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your credentials, and for all activity under your account. Notify us promptly of any unauthorized use.

3. Subscriptions, free trials, and billing

• Free trial. New subscriptions may include a free trial (currently 7 days). You will be asked to provide a valid payment method to start the trial. We do not charge your card during the trial.
• Automatic conversion and renewal. Unless you cancel before the trial ends, your subscription automatically begins and your payment method is charged the then-current plan price. Paid subscriptions renew automatically each billing period (monthly or annual) until canceled.
• Cancellation. You may cancel at any time from your billing settings. Cancellation takes effect at the end of the current period; you retain access until then.
• Changes and taxes. Prices, plan limits, and applicable taxes may change. Material price changes will be communicated before they take effect.
• Refunds. Except where required by law, payments are non-refundable.

4. Acceptable use

You agree not to: (a) submit domains or content you are not authorized to analyze; (b) use the Service to violate any law or third party's rights; (c) attempt to disrupt, reverse engineer, overload, or gain unauthorized access to the Service; (d) resell or provide the Service to third parties except as expressly permitted; or (e) use the Service to send spam or unlawful communications. We may suspend or terminate accounts that violate these Terms or that create risk or legal exposure.

5. Your content

You retain ownership of the domains, prompts, and other inputs you submit ("Your Content"). You grant us a limited license to process Your Content to operate and improve the Service, including transmitting it to the third-party AI and infrastructure providers described in our Privacy Policy.

6. AI-generated results; no guarantees

AI-visibility scores, mentions, citations, and recommendations are generated using third-party AI systems and public data, may be inaccurate or incomplete, and can change over time. We do not guarantee any particular ranking, mention rate, traffic, revenue, or business outcome. You are responsible for how you use the results.

7. Intellectual property

The Service, including its software, design, and content (excluding Your Content), is owned by us or our licensors and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.

8. Third-party services

The Service integrates third-party services (including Stripe, Google, and AI providers). Your use of those services may be subject to their own terms, and we are not responsible for third-party services.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR ACCURATE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses arising out of Your Content, your use of the Service, or your violation of these Terms.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service. Provisions that by their nature should survive termination will survive.

13. Governing law

These Terms are governed by the laws of the State of New Jersey, USA, without regard to conflict-of-law rules. The exclusive venue for disputes will be the courts located in New Jersey, unless otherwise required by law.

14. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here and revise the effective date. Your continued use of the Service after changes take effect constitutes acceptance.
